Shareholders, directors and officers of the company can be both physical and legal persons. Shareholders, directors and officers may possess any nationality or residence. Neither the directors nor the officers are required to be shareholders of the company. The law requires at least three employees: Director, Treasurer and Secretary. Companies are not required to be registered with the government institutions or contain any information about the owners or shareholders. The only information which has to be presented in the state registry is the data on directors.

Offshore company in Panama can be registered in the form of a corporation or a limited liability company and the single registration fee paid to the government is in the amount of $ 250.00. The consequent years the maintenance fee is paid in the same amount.

To open a register the company in Panama  the following documents must be provided:

  • Titles of the company (unique);
  • The names of 3 directors;
  • Copies of the passports of the directors.

In Panama, annual fees must be paid each year on the same day the company was registered, otherwise additional penalty will be applied. In addition to the payment of state fees the registered agent fee is applied.
